MAS Acts as Advisor to Aleri, Inc. (Chicago, US) in the Divestment of Aleri Global Banking to Wall Street Systems (New York, US)

Spring Lake, NJ  Tuesday, April 29, 2008 - Market Advisory Services, Inc. (MAS), a strategic advisory and research boutique in commodities, energy, and financial information technology today announced the success of its transaction process to introduce, represent, and negotiate the divestment of Aleri Global Banking Division (AGB) on behalf of Aleri Inc. of Chicago, Illinois to Wall Street Systems (Wallstreet) of New York.

This transaction derives from Aleri’s board and executive management decision to exclusively focus on complex event processing (CEP) while enabling the AGB business to become part of the global capital markets business of Wall Street Systems. The deal will be closed in May 2008.

MAS was selected by the board and executive management as the sole advisor to develop the exit strategy and find a strategic buyer of the AGB business. This role included preparing analysis of the business, sales presentations regards the opportunities and assisting the divisional executives in interaction with prospective buyers.  Multiple prospective buyers were involved in the process and multiple bids were made for the property.

MAS approached Wall Street Systems through Warburg Pincus and subsequently presented the opportunity to the executive team of Wall Street Systems.

“Warburg Pincus immediately understood the opportunity for their portfolio company, Wall Street Systems, and their executive management team was engaged from the outset in regards to acquiring AGB.” stated Paul Mahady, President of MAS.

AGB became part of the Aleri business as a result of an acquisition in 2002 of mpct Systems, previously known as Internet Systems. The AGB historical flagship product Atlas was the one of a few leading tier one back office bank treasury processing systems over the past 25 years. The differentiation was the high volume processing and non-stop availability of the system for multisite environments.
